ValueAct Capital Reduces Alliance Data Systems Position


Jeff Ubben's activist firm ValueAct Capital has also filed both a Form 4 and a 13D with the SEC regarding its stake in Alliance Data Systems (ADS). 

ValueAct now only owns 2.7% of the company with a little over 1.377 million shares.  This is down from the 3.7 million they reported owning back at the end of Q2.
The Form 4 filing notes that ValueAct converted its previously disclosed 150,000 shares of Series A non-voting convertible preferred stock into 1.5 million shares of common stock.  The 13D also indicates that ValueAct sold 2 million ADS shares at $101.50 on October 28th and sold another 1.83 million shares at $102 the next day.

Per Yahoo Finance, Alliance Data Systems "provides data-driven marketing and loyalty solutions worldwide."

ValueAct Capital Trims Microsoft Position, Adds To Alliance Data Systems

Jeff Ubben's activist investment firm ValueAct Capital has filed two separate Form 4's with the SEC regarding their recent activity.

ValueAct Reduces Microsoft Stake

First, Ubben's firm has reduced its position in Microsoft (MSFT).  Per the filing, ValueAct sold 11 million shares between February 1st through 3rd at prices of $63.72, $63.12, and $63.33.

After these transactions, they're left owning over 27.62 million MSFT shares. This was their top holding at the end of the third quarter

Per Google Finance, Microsoft "develops, licenses, and supports a range of software products, services and devices. The Company's segments include Productivity and Business Processes, Intelligent Cloud and More Personal Computing. The Company's products include operating systems; cross-device productivity applications; server applications; business solution applications; desktop and server management tools; software development tools; video games, and training and certification of computer system integrators and developers. It also designs, manufactures, and sells devices, including personal computers (PCs), tablets, gaming and entertainment consoles, phones, other intelligent devices, and related accessories, that integrate with its cloud-based offerings. It offers an array of services, including cloud-based solutions that provide customers with software, services, platforms, and content, and it provides solution support and consulting services."


Ubben's Firm Adds To Alliance Data Systems

Second, ValueAct has also filed a Form 4 with the SEC regarding their Alliance Data Systems (ADS) stake.  Per this filing, they bought 57,400 shares on January 26th at varying prices (the bulk at $217.57 and $219.18).

After these buys, they now own over 5.87 million shares of ADS.

The Company offers a portfolio of integrated outsourced marketing solutions, including customer loyalty programs, database marketing services, end-to-end marketing services, analytics and creative services, direct marketing services, and private label and co-brand retail credit card programs. The Company operates through three segments: LoyaltyOne, which provides coalition and short-term loyalty programs through the Company's Canadian AIR MILES Reward Program and BrandLoyalty; Epsilon, which provides end-to-end, integrated marketing solutions, and Card Services, which provides risk management solutions, account origination, funding, transaction processing, customer care, collections and marketing services for the Company's private label and co-brand retail credit card programs."

ValueAct Capital Adds to Alliance Data Systems, 21st Century Fox Stakes

Jeff Ubben's activist firm ValueAct Capital has submitted a few filings to the SEC recently regarding his positions.

ValueAct Adds To Alliance Data Systems

First, Ubben's firm has filed an amended 13D regarding their newer position in Alliance Data Systems (ADS).  Per the filing, ValueAct now owns 8.5% of the company with 5 million shares.

This is an increase over the 3.28 million shares they owned at the end of the second quarter.  They've been buying as recently as late August at prices of $199.13 - $204.07.

The 13D also notes that ValueAct intends to have conversations with management and the board on ways to enhance shareholder value.

Jeff Ubben Buys More 21st Century Fox

Second, ValueAct Capital has filed a Form 4 with the SEC regarding its stake in 21st Century Fox (FOX / FOXA).  Per the filing, ValueAct was out buying FOX shares on August 16th - 18th.

Ubben purchased 3 million shares in total at prices ranging from $25.86 - $26.13.  After these buys, they now own over $47.3 million shares.  Ubben is on FOX's board and it seems they want the company to go more direct to consumer with their media offerings.

ValueAct Capital Files 13D on Alliance Data Systems

Jeff Ubben's activist investment firm ValueAct Capital has filed a 13D with the SEC regarding their stake in Alliance Data Systems (ADS).  Per the filing, ValueAct now owns 6.8% of the company with 4 million shares.

The filing indicates ValueAct was buying in mid-to-late June and early July at prices from $186.66 to $200.99.  ADS currently trades around $211.

This is up a sizeable amount from the 541,115 ADS shares they owned at the end of the first quarter.  Our Hedge Fund Wisdom newsletter flagged ValueAct's new purchase back in May.

The 13D notes that ValueAct intends to have discussions with management and the board about ways to enhance shareholder value.

Graham & Doddsville New Issue: Interviews With MSD Capital, Meritage Group & More

The Spring 2016 issue of the Graham & Doddsville newsletter has been released by Columbia Business School.  In it, they have some great interviews with John Phelan of MSD Capital, Alex Magaro of Meritage Group, Adam Wyden of ADW Capital, and short-seller Marc Cohodes.

The issue also features the stock pitches from students from the 9th annual Pershing Square challenge.  Long Alimentation Couche-Tarde (TSE:ATD.B) won first place.  Next, second place went to a long pitch on Charles Schwab (SCHW).  Finalists also included a long pitch on Advance Auto Parts (AAP), a long of Alcoa (AA), and a long of Alliance Data Systems (ADS).
